HarryApp User Agreement

This Studio User Agreement ("Agreement") is entered into between HL Entertainment & Trading LTD, operating HarryApp ("Company", "we", "our", or "us"), and every person who registers for or uses the HarryApp platform ("User", "you", or "your").

By creating an account, purchasing beats, uploading content, recording music, or using any feature of HarryApp, you agree to be bound by this Agreement.

1. ABOUT HarryApp

HarryApp is an online music creation platform that enables users to:

1. Purchase beats from producers.
2. Record vocals online.
3. Mix and master songs.
4. Download completed music.
5. Collaborate with producers and artists.
6. Store music projects.
7. Purchase additional studio services where available.

2. ACCOUNT REGISTRATION

You agree to:

1. Provide accurate registration information.
2. Keep your password confidential.
3. Be responsible for all activities under your account.
4. Notify us immediately of any unauthorized access.

Users must be at least 18 years old or have the permission of a parent or legal guardian.

3. PURCHASING BEATS

When purchasing a beat through HarryApp:

1. You receive only the license selected during purchase.
2. Ownership and copyright of the beat remain with the producer unless the purchased license expressly transfers ownership.
3. Your rights are limited to the terms of the purchased license.
4. Each beat may have different licensing terms and usage limits.

If you purchase an Exclusive License, the producer agrees not to sell additional exclusive rights to that beat after your purchase, subject to any existing licenses already granted.

4. RECORDING AND MIXING

HarryApp grants you access to online recording and mixing tools.

You may:

1. Record vocals.
2. Mix purchased beats.
3. Add effects.
4. Export finished songs.
5. Save projects in your account.

The platform does not claim ownership of your original vocal recordings.

5. OWNERSHIP OF FINISHED SONGS

Where you combine:

1. Your original vocals; and
2. A legally licensed beat purchased through HarryApp,

you own the copyright in your original vocal performance and any original elements you create, while the producer retains ownership of the beat unless an exclusive transfer of rights has been agreed.

Your rights to commercially exploit the finished song depend on the terms of the beat license you purchased.

6. USER CONTENT

You retain ownership of the content you upload.

By uploading content, you grant HL Entertainment & Trading LTD a non-exclusive, worldwide license to:

1. Store your projects.
2. Process recordings.
3. Back up your files.
4. Display content within your account.
5. Provide the services you request.

We will not sell your content to third parties without your permission.

7. PROHIBITED ACTIVITIES

You agree not to:

1. Upload copyrighted material without permission.
2. Upload viruses or malicious software.
3. Attempt to hack or disrupt the platform.
4. Use stolen payment methods.
5. Impersonate another person.
6. Remove copyright notices or watermarks.
7. Resell or redistribute beats except as permitted by the applicable license.
8. Use the platform for illegal or fraudulent purposes.

Violation of these rules may result in suspension or termination of your account.

8. PAYMENTS

All purchases made through HarryApp are subject to the prices displayed at the time of purchase.

Payments are processed through approved payment providers.

Applicable taxes, processing fees, or currency conversion charges may apply.

9. REFUND POLICY

Due to the digital nature of beats and downloadable content:

1. Beat purchases are generally non-refundable once the files or license have been delivered.
2. Refunds may be considered where required by applicable law or in cases of duplicate payment, technical failure, or unauthorized transactions, subject to investigation by the Company.

10. INTELLECTUAL PROPERTY

All software, trademarks, logos, designs, graphics, website content, and platform technology belong to HL Entertainment & Trading LTD or its licensors.

You may not copy, modify, reverse engineer, or redistribute any part of the platform without written permission.

11. COPYRIGHT COMPLAINTS

If you believe your copyright has been infringed, you may submit a notice to:

Your notice should include:

1. Your contact information.
2. Proof of ownership or authority.
3. Identification of the infringing content.
4. A statement made in good faith that the use is unauthorized.

HL Entertainment reserves the right to remove allegedly infringing content while investigating the complaint.

12. ACCOUNT SUSPENSION

We may suspend or terminate your account if you:

1. Breach this Agreement.
2. Violate intellectual property rights.
3. Engage in fraud or unlawful conduct.
4. Misuse the platform or interfere with other users.

13. DISCLAIMER

HarryApp is provided on an "as is" and "as available" basis.

We do not guarantee uninterrupted access, error-free operation, or that the platform will meet every user's expectations.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law, HL Entertainment & Trading LTD shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the platform.

Our total liability for any claim relating to the platform shall not exceed the amount you paid to us during the twelve (12) months preceding the claim.

15. PRIVACY

Your use of HarryApp is also governed by our Privacy Policy, which explains how we collect, use, store, and protect your personal information.

16. CHANGES TO THIS AGREEMENT

We may update this Agreement from time to time.

Material changes will be communicated through the platform or by email where appropriate. Continued use of the platform after changes take effect constitutes acceptance of the updated Agreement.

17. GOVERNING LAW

This Agreement shall be governed by the laws of the Federal Republic of Nigeria, without prejudice to any mandatory consumer protection laws that may apply in your country of residence.
